2. Funding & Financing Services

  • Proquity Capital is not a lender. We provide an intermediary platform connecting businesses with lenders and investors.

  • Any offers, terms, interest rates, or conditions presented are subject to the lender’s approval and your eligibility.

  • We do not guarantee approval, funding amounts, or any specific financing outcome.

  • All financial products are governed by the terms of the offering lender or partner institution, not by Proquity Capital.

3. Fees & Payments

  • Any fees associated with our Services will be disclosed in advance.

  • You agree to pay all applicable fees promptly.

  • Unpaid fees may result in suspension or termination of your access to the Services.

4. Intellectual Property

  • All rights, title, and interest in the Services and content are owned by Proquity Capital or its licensors.

  • You may not copy, modify, distribute, or reverse-engineer the Services except as permitted by law or with written consent.

5. Disclaimer of Warranties

  • The Services are provided on an “as is” and “as available” basis.

  • We make no representations or warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

6. Limitation of Liability

  • To the fullest extent permitted by New York law, Proquity Capital shall not be liable for indirect, incidental, special, or consequential damages, including loss of business or profits.

  • Our aggregate liability shall not exceed the total fees paid by you to us, if any, in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless Proquity Capital, its affiliates, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorney’s fees) arising out of your use of the Services or violation of these Terms.

8. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of New York and applicable U.S. federal law.

  • Any disputes shall be resolved exclusively in the state or federal courts located in New York.

  • You agree to submit to the personal jurisdiction of these courts and waive any objection to inconvenient forum.

  • Class actions and jury trials are waived to the fullest extent permitted by law.

9. Termination

We may suspend or terminate your access to the Services at our discretion, with or without notice, if you violate these Terms or applicable laws. Obligations that by nature survive termination (e.g. indemnification, limitation of liability) remain in effect.
